How Well is Your Business Managing Contracts - A Self Assessment.

At Protea Consultancy we have developed a five-level framework to help businesses assess the strength and scalability of their current contract management methodology.
The framework is designed to highlight areas of risk and inefficiency as well as opportunities for improvement.
To use the framework:
Review each level (1-5) and identify which stage that most closely reflects your current contract management methodology
Note any gaps between your current stage and the next level
Use these insights to prioritise improvements, whether that’s introducing clearer governance, enhancing clause control or implementing smarter workflows
Level 1 - Ad-hoc & reactive
Contracts are handled on a case-by-case basis. There is no standardisation, minimal legal input and limited visibility once the contract is signed.
🔺 Risks - Hidden liabilities, non-compliance, uncontrolled terms, missed obligations, revenue leakage.
Level 2 - Standardised documents, low governance
The business uses basic templates, often downloaded, from AI or borrowed. Some internal roles are assigned to manage elements of the contracts but governance is inconsistent.
🔺 Risks - Use of outdated or inappropriate terminology or clauses, poor and inconsistent negotiation strategy, increased exposure to contra proferentem risks.
Level 3 - Defined process & light oversight
There is a documented process for contract review and some legal or commercial oversight. Templates are regularly reviewed to align with changing business objectives and key clauses are tracked (e.g. liability caps, renewals, indemnities).
✅ Benefits - Stronger risk mitigation, improved compliance, consistent terms.
Level 4 - Integrated governance
Contracting is embedded into the business’s operational model. Legal, commercial, operational and procurement functions work from a shared clause library and playbook. Version control and approval workflows are clear. Approval accountability is a common known.
✅ Benefits - Strategic internal alignment, reduced time in contract management, defensible positions during disputes.
Level 5 - Strategic contract management
Contracts are managed as strategic assets. The business uses contract lifecycle management (CLM) tools, data analytics to track value leakage and robust governance to inform commercial decisions. Obligations are proactively monitored post-signature.
✅ Benefits: Operational efficiency, contract value realisation, risk forecasting, defensible governance in audits or legal challenge.
